2. Eligibility & Accounts

• You must have the authority to enter into these Terms on behalf of yourself or your organization.
• You are responsible for the security of your account and all activities under it.
• Provide accurate information and keep it up to date.

3. Acceptable Use

• No unlawful, harmful, fraudulent, infringing, or abusive activity.
• No sending of unsolicited messages; you must obtain and maintain valid user consent where applicable.
• No attempt to bypass security or interfere with the Service’s operation.

4. Messaging Compliance (e.g., WhatsApp Business API)

• You are responsible for compliance with applicable channel policies (e.g., WhatsApp/Meta terms, template approval, 24-hour windows, opt-in, and opt-out management).
• You must send messages only to recipients who have provided valid consent to your brand.

5. Customer Data & Privacy

We process personal data in accordance with our Privacy Policy. You represent that you have the necessary rights and consents to submit Customer Data to the Service.

• You retain ownership of your Customer Data. You grant us a limited license to process it solely to provide and improve the Service.
• You will not upload sensitive data unless expressly permitted and protected by applicable agreements.

6. Fees & Billing

• Fees are specified at checkout or in your Order Form/Plan page. Taxes (e.g., GST) may apply per law.
• Unless stated otherwise, fees are non-refundable. Late or failed payments may result in suspension.

7. Intellectual Property

• The Service and its content are protected by intellectual property laws. We grant you a non-exclusive, non-transferable license to use the Service per these Terms.
• You will not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

8. Third-Party Services

The Service may integrate with third-party platforms. Your use of those platforms is governed by their terms and policies; we are not responsible for third-party services.

9. Warranties & Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied (including merchantability, fitness for a particular purpose, and non-infringement).

10. Limitation of Liability

To the maximum extent permitted by law, First Penny Software Pvt. Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our aggregate liability arising out of or relating to the Service shall not exceed the amounts paid by you to us for the Service in the six (6) months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless First Penny Software Pvt. Ltd, its affiliates, and personnel from any claims, losses, damages, liabilities, costs, and expenses arising from your use of the Service or violation of these Terms.

12. Term & Termination

• Either party may terminate for cause if the other party materially breaches these Terms and fails to cure within a reasonable period after notice.
• Upon termination, your right to access the Service ceases immediately. Sections intended to survive will survive (e.g., IP, confidentiality, liability limits).

13. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. We will post updates on this page (and notify you if changes are material). Continued use after changes become effective constitutes acceptance.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts located in Kolkata shall have exclusive jurisdiction. You and First Penny Software Pvt. Ltd agree to submit to such courts.
